Terms of Service

These Terms of Service (“Terms”) govern your access to and use of MiyoMind, the personal AI assistant service operated by MiyoMind (“MiyoMind,” “we,” “us,” or “our”). Please read them carefully — by creating an account or using the Service, you confirm you have read, understood, and agreed to be bound by them.

1. Acceptance of Terms

By accessing or using MiyoMind (the “Service”), you enter into a binding legal agreement with us. If you do not agree to these Terms, you must not access or use the Service.

You must be at least 13 years old to use MiyoMind, or 16 if you are located in the European Economic Area (EEA) or United Kingdom. If you are under the age of majority in your jurisdiction, you confirm a parent or legal guardian has reviewed and accepted these Terms on your behalf.

If you are accepting these Terms on behalf of a company, organisation, or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case “you” refers to that entity.

2. Description of Service

MiyoMind is a centralized AI personal assistant accessible through WhatsApp, Telegram, Discord, and the MiyoMind web dashboard. The Service provides conversational AI, reminders, scheduling, file storage, productivity integrations, voice transcription, image generation, and related features.

MiyoMind is powered by OpenClaw and Hermes — proprietary technology built in-house. OpenClaw is our per-user sandboxed agent runtime; Hermes is our model-routing and credit-accounting layer. Together they orchestrate persona, memory, tool execution, billing, and our 10-layer prompt-injection defence.

Underlying language models are accessed from frontier laboratories — including OpenAI, Anthropic, Google, xAI, and Alibaba — via Hermes’ routing layer under our enterprise agreements with those providers. MiyoMind is not a reseller of any third-party model. The orchestration, persona, memory, billing, safety, and product layers that make the Service useful are ours.

We may add, modify, or discontinue features at any time. Where reasonably possible, we will give advance notice of material changes that materially reduce paid functionality.

3. Account Registration

To use the Service, you must create an account and provide accurate, current, and complete information. You are responsible for keeping your account information up to date and for all activity that occurs under your account.

  • You must safeguard your credentials, including any sign-in providers (e.g. email, Google, or other identity providers) you connect.
  • Each individual is permitted one personal account. Sharing accounts to circumvent rate limits, credit ceilings, or per-user pricing is prohibited.
  • You must notify us promptly at legal@miyomind.com of any suspected unauthorised access.
  • You meet the age requirements set out in Section 1.

We may refuse, suspend, or terminate accounts at our reasonable discretion if these requirements are not met.

4. Credits, Subscriptions & Refunds

MiyoMind operates on a credit-based pricing model. One (1) credit has a face value of $0.005 USD. Each AI interaction consumes credits based on the underlying compute and model cost — the actual credit charge is calculated as ceil(apiCostUsd / $0.0015), with no artificial 1-credit floor.

Plans

  • Free — $0/month, 100 credits/month, OpenClaw sandbox, Auto mode only.
  • Plus — $14.99/month, 6,000 credits/month, one dedicated OpenClaw container.
  • Pro — $39.99/month, 18,000 credits/month, one dedicated OpenClaw container.

Top-up packs

Additional credits may be purchased one-off: 600 credits for $3, 2,000 for $10, 5,000 for $25, or 10,000 for $50.

Renewal & rollover

  • Subscriptions auto-renew at the end of each billing period unless cancelled. You may cancel at any time from the Credits page in your dashboard; cancellation takes effect at the end of the current paid period.
  • Subscription credits do not roll over between billing periods unless your specific plan terms expressly state otherwise. Top-up credits remain available until consumed.
  • If a payment fails, we may retry. Two consecutive failed payments may result in suspension of paid features. A successful chargeback or unresolved dispute may result in suspension or termination.

Refunds

Except as required by law or expressly stated here, payments are non-refundable. We may issue refunds at our discretion — for example, where a verified service fault prevented you from using credits.

EEA & UK consumers: we acknowledge your statutory 14-day right of withdrawal for distance-sold digital services. By starting to use the Service within that period, you expressly consent to immediate performance and acknowledge that the right of withdrawal lapses to the extent the Service has been supplied. Mandatory consumer protections in your jurisdiction are unaffected.

5. Acceptable Use

You agree not to use MiyoMind, or attempt to use MiyoMind, to do any of the following:

  • Generate, store, transmit, or solicit content that is illegal in your jurisdiction or ours, including but not limited to child sexual abuse material (CSAM), incitement to violence, or content that infringes third-party rights.
  • Engage in targeted harassment, threats, doxxing, hate speech, or coordinated abuse of any individual or group.
  • Attempt to extract, exfiltrate, or leak our system prompts, persona templates, model routing logic, or the training data, weights, or system prompts of routed third-party models.
  • Attempt to break, escape, or otherwise compromise the sandbox isolation of OpenClaw containers, our internal networks, the credit-proxy, or the tool-proxy — including any attempt at SSRF, container escape, privilege escalation, or unauthorised access to internal endpoints.
  • Automate scraping, crawling, or bulk programmatic access to MiyoMind outside of officially documented APIs.
  • Resell, sublicense, or redistribute access to MiyoMind, or use it to provide a wrapper service to third parties without our written permission.
  • Use MiyoMind to develop or train a competing AI assistant, foundation model, or agent platform.
  • Circumvent or attempt to circumvent rate limits, credit ceilings, per-request token caps, idempotency windows, or other technical safeguards.
  • Distribute malware, phishing payloads, ransomware, or other malicious code via the Service.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.

We reserve the right to investigate, suspend, or terminate accounts that violate these rules, with notice where reasonably feasible.

6. AI Output Disclaimers

AI-generated outputs may be inaccurate, incomplete, biased, or out of date. They may “hallucinate” facts, citations, code, or quotes that do not exist. You are solely responsible for reviewing and verifying any output before relying on it, especially in high-stakes contexts.

MiyoMind is not a substitute for professional advice. In particular, the Service must not be relied on as a source of legal, medical, mental-health, financial, tax, accounting, regulatory, safety, or engineering advice. Always consult a qualified professional before acting on AI-generated information in those domains.

If you are in crisis or in danger, contact your local emergency services or an appropriate helpline immediately. MiyoMind is not an emergency service.

7. User Content & License

You retain ownership of the inputs you submit to the Service (“Inputs”) and, as between you and us, the outputs returned to you (“Outputs”). Subject to your compliance with these Terms and applicable law, we assign to you any rights we hold in the Outputs to the extent transferable. You are responsible for ensuring you have the rights necessary to submit your Inputs.

You grant MiyoMind a worldwide, non-exclusive, royalty-free licence to host, store, transmit, process, and display your Inputs and Outputs solely as needed to operate, secure, support, and improve the Service for you (e.g. running your messages through the agent loop, storing reminders, distilling memory, billing credits, and surfacing past conversations).

We do not train models on your data. Under our enterprise agreements with the frontier laboratories whose models we route to (including OpenAI, Anthropic, Google, xAI, and Alibaba), they do not train on your data either. Anonymous, aggregated metrics (such as credit consumption per plan or model latency) may be used to operate and improve the Service.

You may export or delete your conversation history, files, reminders, and memories from the dashboard. Deletion is irreversible.

8. Privacy & Security

Your use of MiyoMind is also subject to our Privacy Policy, which describes how we collect, use, and safeguard your data.

We design MiyoMind with security as a primary requirement, not an afterthought:

  • Encryption at rest: sensitive fields — OAuth tokens, integration credentials, and distilled memories — are encrypted using AES-256-GCM with per-user, per-resource Additional Authenticated Data (AAD) bindings, so a token leaked from one context cannot be replayed against another.
  • Encryption in transit: all public traffic is served over TLS 1.3 with HSTS preloaded.
  • Container isolation: per-user OpenClaw containers run with CapDrop: ALL, a non-root user, a read-only root filesystem, and on a fully internal: true Docker network with zero public egress. Containers hold zero external API keys — all third-party calls are mediated by our internal proxies.
  • Prompt-injection defence: we operate a 10-layer defence including zero-width and bidirectional-character stripping, NFKC normalisation with homoglyph mapping, jailbreak filtering, sandboxed tool-output framing, an output scrubber that redacts secrets and internal URLs, and reminder-field scrubbing.
  • Append-only ledger: credit accounting is journalled to an append-only ledger with row-level locks, so balance state is always reconstructable.

No system is perfectly secure. We invest in defence-in-depth, but cannot guarantee absolute security and disclaim such warranties to the maximum extent permitted by law.

9. Third-Party Platforms

MiyoMind is reachable through WhatsApp (Meta), Telegram, and Discord. Your use of those platforms is also subject to their respective terms of service and privacy policies. We do not control them and we are not affiliated with, endorsed by, or sponsored by Meta, Telegram FZ-LLC, or Discord Inc.

Messages routed through those platforms are also subject to their delivery, retention, and moderation policies. If a platform suspends your account or rate-limits our connection, MiyoMind may be temporarily unable to deliver messages on that channel.

10. API Keys & Integrations

MiyoMind is a fully centralized platform. Users do not, and cannot, supply their own external API keys to the Service. All third-party calls — large language models, web search, document fetching, text-to-speech, image generation, and audio transcription — flow through MiyoMind’s internal credit-proxy and tool-proxy, which enforce per-user budgets, rate limits, and request validation.

Where you choose to connect first-party productivity integrations (such as Google or Microsoft accounts) via OAuth, you authorise MiyoMind to act on your behalf with the scopes you grant. You may revoke that access at any time from the Connectors page or by revoking access through the upstream provider.

11. Intellectual Property

The MiyoMind brand, the Miyo persona, the OpenClaw and Hermes systems, the website, the dashboard, our orchestration code, our persona templates, and all related logos, trademarks, and designs are owned by MiyoMind and protected by intellectual-property and unfair-competition laws. Nothing in these Terms transfers ownership of those assets to you.

Underlying frontier-lab models routed through Hermes remain the intellectual property of their respective owners. Our right to route to them is governed by separate enterprise agreements between MiyoMind and those providers; nothing in these Terms grants you any direct rights against those providers.

Subject to the limited licence in Section 7, you retain ownership of your Inputs and Outputs.

12. Service Availability & Suspension

We provide MiyoMind on a best-effort basis. There is no formal Service Level Agreement (SLA) on the Free tier, and paid tiers are offered subject to the availability of upstream providers, payment processors, hosting infrastructure, and the messaging platforms we connect to.

We may suspend or terminate access to all or part of the Service if we reasonably believe you have breached these Terms; if continued access poses a security, legal, or compliance risk; if a payment is overdue; or if a third-party platform requires us to. Where reasonably feasible, we will give you prior notice and an opportunity to remedy the issue. Suspension does not relieve you of any payment obligations already accrued.

13. Limitation of Liability

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. WE DISCLAIM ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MIYOMIND’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED US DOLLARS (US$100) OR (B) THE FEES YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

IN NO EVENT WILL MIYOMIND BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR THE COST OF SUBSTITUTE SERVICES, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law — including, where relevant, liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation, or statutory consumer rights.

14. Indemnification

You will defend, indemnify, and hold harmless MiyoMind, its affiliates, and their respective officers, directors, employees, and agents from and against any third-party claims, damages, losses, liabilities, costs, and reasonable legal fees arising out of or relating to: (a) your use of the Service in breach of these Terms or applicable law; (b) any content, data, or material you submit to the Service; (c) your infringement of a third party’s rights; or (d) your gross negligence or wilful misconduct. We will notify you promptly of any claim subject to this section, give you control of its defence (with our reasonable cooperation), and allow you to settle it provided the settlement unconditionally releases us from liability.

15. Modifications to Terms

We may update these Terms from time to time. The “Last updated” date at the top of this page reflects the current version. We will notify you of material changes by email and/or via a banner in your dashboard before the changes take effect.

Continued use of the Service after the effective date of an update constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service before the effective date and may cancel your subscription. Non-material changes (e.g. clarifications or typo fixes) take effect on posting.

16. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict-of-law principles.

Before filing a formal claim, you agree to attempt to resolve any dispute informally by contacting us at legal@miyomind.com with a written description of the issue and the relief you seek. We will work in good faith to resolve the matter within thirty (30) days.

If we cannot resolve the dispute informally, it will be submitted to binding arbitration administered under the rules of a recognised arbitral institution seated in London, England, in the English language. As an alternative to arbitration, you may bring an individual claim in the small-claims court of competent jurisdiction in your locality, where available, for claims that qualify.

Nothing in this section limits the mandatory consumer-protection rights of EU/EEA or UK consumers, including the right to bring proceedings in the courts of your country of residence and to be governed by the mandatory laws of that country.
